Main difference is Ubuntu Server doesn’t give you the GUI by default. That’s handy to have so usually I suggest the desktop edition.

The difference is minimal. Both use the exact same repositories for packages. The main differences are in the installation method and default packages. I prefer to use the server install media for new installations so I can set up the disks using software RAID and LVM. You can also use the desktop-alternate installation media for the same purposes. The server installation also includes the linux-image-2.6-server kernel which has slightly better I/O performance and can handle large SMP installations where the linux-image-2.6 kernel shipped by Ubuntu is more geared towards desktop usability, latency and responsiveness for interactive systems.
