Stephen and Brady:

Good talking to you earlier this week. As a follow up, I wanted to provide our current assessment of the IRS appeal for OEMR.

I am also including the more detailed assessment provided by Sonya, as indicated below. As Sonya indicates, there does appear to be a basis for challenging the IRS determination. There is an extensive body of rulings covering the IRS treatment of open source software. Not all of the rulings are consistent with one another; however, there are some rulings that we feel can be argued in OEMR’s favor.

We would peg the likelihood of OEMR’s success on an appeal at roughly 50/50. On some level, likelihood of success will depend upon the IRS agent who is handling the appeal.

In terms of costs, we estimate the cost of processing the appeal at somewhere in the range of $5K - $10K. Please note that this estimate does not include the $2,000 in legal research already incurred to date—given the large body of IRS materials on this subject that need to be reviewed, this estimate is slightly higher than our original assessment. Of course the costs of an appeal can largely depend upon the actions of the IRS; however, as discussed during our call, OEMR could always determine not to proceed at certain stages of the appeal, depending upon how things are proceeding.
